1. Who you are contracting with

Zenivo is operated by DIRICH ENTERPRISES LLC ("DIRICH ENTERPRISES LLC", "we", "us"). By creating an account or continuing to use Zenivo, you agree to these terms and confirm you have authority to accept them — either for yourself as an adult of legal age, or on behalf of the organization whose workspace you join.

2. The service

Zenivo provides internal communication tools for teams: announcements, channels, team chat, surveys, shared resources, a member dashboard and plan-based usage limits. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you select.

Zenivo and its software, documentation and branding remain the property of DIRICH ENTERPRISES LLC. You may not reverse engineer the service, resell or redistribute it, or circumvent technical limits of your plan.

3. Your account and content

Keep your sign-in credentials confidential — you are responsible for activity under your account. Provide accurate information and keep it up to date.

Content your team posts (announcements, messages, survey answers, uploaded resources) stays yours. You grant us a limited license to host and process that content solely to provide the service.

4. Acceptable use

You must not misuse Zenivo. That includes:

  • unlawful use, fraud or spam;
  • infringing anyone's intellectual property;
  • interfering with the service's security — introducing malware, probing or scanning our systems, or scraping the service.

5. Payments, billing and cancellations

Paid plans are sold by our payment partner Paddle, who acts as reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms in addition to these terms. Subscriptions renew automatically at the chosen interval (monthly or yearly) until cancelled. You can cancel any time from the Payments page; access continues until the end of the paid period.

6. Service level and warranties

We work hard to keep Zenivo reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, the service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

7. Suspension and termination

We may suspend or terminate access for a material breach of these terms, non-payment, a security or fraud risk, or repeated and serious violations of the acceptable use rules. When access ends, admins may request an export of team content for a reasonable window before it is deleted.

8. Liability

To the fullest extent permitted by law, our aggregate liability is capped at the fees you paid in the twelve months before the claim, and we are not liable for indirect, consequential or special damages (including loss of profits, data or goodwill). Nothing in these terms limits liability for fraud, death or personal injury where the law requires otherwise.

9. General

You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the state where DIRICH ENTERPRISES LLC is organized, and disputes will be heard in its courts unless mandatory law says otherwise.
